Terms of Service

Please read these Terms of Service ("Terms") carefully before using the iMeal AI mobile application ("App") operated by Ess X LLC ("Company," "we," "us," or "our").

By downloading, installing, or using iMeal AI, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

1. Acceptance of Terms

1.1 By creating an account or using iMeal AI, you confirm that:

• You are at least 13 years of age (or 16 in certain jurisdictions)
• You have the legal capacity to enter into this agreement
• You will comply with these Terms and all applicable laws

1.2 We reserve the right to modify these Terms at any time. Continued use of the App after changes constitutes acceptance of the modified Terms.

2. Description of Service

2.1 iMeal AI is a nutrition and meal tracking application that provides:

• Personalized calorie and macronutrient target calculations
• Meal logging via photo analysis, barcode scanning, and manual entry
• AI-powered meal suggestions and planning
• Progress tracking and insights
• Apple Health integration (optional)
• Grocery list generation

2.2 The App is designed for general wellness and informational purposes only. It is NOT a medical device and should NOT be used for medical diagnosis, treatment, or as a substitute for professional medical advice.

3. Account Registration

3.1 Account Creation

When you tap "Get Started" on the welcome screen, an anonymous account is automatically created for you. The welcome screen displays that by continuing, you agree to our Terms of Service and Privacy Policy.

You may optionally link your account using Apple Sign-In or Google Sign-In at any time from Settings. By using the App, you agree to:

• Provide accurate information when entering profile data
• Maintain the security of your device and any linked account credentials
• Notify us immediately of any unauthorized access

3.2 Account Responsibility

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized use of your account.

3.3 Account Termination

You may delete your account at any time by uninstalling the App (which removes all local data) or by contacting support@imealai.com for account deletion from our authentication system.

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Payments

4.1 Subscription Plans

iMeal AI offers premium features through subscription plans:

• Weekly subscription
• Monthly subscription
• Annual subscription

4.2 Free Trial

Certain subscription plans may include a free trial period. If you do not cancel before the trial ends, you will be automatically charged for the subscription.

4.3 Payment Processing

All payments are processed through the Apple App Store. By subscribing, you agree to Apple's terms of service and payment terms.

4.4 Auto-Renewal

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. Your account will be charged for renewal within 24 hours prior to the end of the current period.

4.5 Cancellation

You may cancel your subscription at any time through your Apple App Store account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial subscription periods.

4.6 Price Changes

We reserve the right to change subscription prices. Any price changes will apply to the next billing cycle after notice is provided.

4.7 Refunds

Refund requests are handled by Apple in accordance with their refund policies. Please contact Apple Support for refund inquiries.

5. User Content

5.1 Your Content

You retain ownership of any content you submit through the App, including:

• Meal photos
• Meal entries and logs
• Personal profile information

5.2 License Grant

By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and display such content solely for the purpose of providing and improving the App's services.

5.3 Content Guidelines

You agree not to submit content that:

• Is illegal, harmful, or offensive
• Infringes on intellectual property rights
• Contains malware or harmful code
• Violates any third party's privacy

6. Acceptable Use

6.1 You agree to use iMeal AI only for lawful purposes and in accordance with these Terms.

6.2 You agree NOT to:

• Use the App for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the App's functionality
• Reverse engineer, decompile, or disassemble the App
• Use automated systems or bots to access the App
• Resell or redistribute access to the App
• Use the App to harm others or spread misinformation

6.3 Violation of these acceptable use policies may result in immediate termination of your account.

7. Intellectual Property

7.1 Our Property

The App, including its design, features, content, and underlying technology, is owned by Ess X LLC and protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms.

7.3 Restrictions

You may not:

• Copy, modify, or distribute the App
• Create derivative works based on the App
• Remove any copyright or proprietary notices
• Use our trademarks without written permission

7.4 Trademarks

"iMeal," "iMeal AI," and associated logos are trademarks of Ess X LLC. You may not use these marks without our prior written consent.

8. AI-Powered Features

8.1 Nature of AI Analysis

The AI features in iMeal AI (including photo analysis, meal suggestions, and meal planning for any day or week) use Google's Vertex AI (Gemini API) technology. These features provide estimates and suggestions based on image recognition and nutritional databases.

8.2 Data Sent to AI

To provide AI features, we send the following data transiently to Google's Vertex AI:

• Meal photos (for photo analysis)
• Your dietary preferences and restrictions
• Remaining macronutrient targets
• Cuisine preferences

All this data is stored ONLY on your device. We send it transiently to the AI service solely to provide the feature you request.

Under our Vertex AI enterprise agreement:

• Your data is NOT used to train AI models
• Your data is NOT stored or logged by Google
• Data is processed transiently (in-memory only) and encrypted in transit

8.3 Accuracy Disclaimer

AI-generated nutritional estimates are NOT guaranteed to be accurate. Factors that may affect accuracy include:

• Image quality and lighting
• Portion visibility
• Food preparation methods
• Regional variations in ingredients

8.4 User Responsibility

You are responsible for reviewing and verifying AI-generated nutritional information. We recommend:

• Checking nutrition labels when available
• Adjusting estimates based on actual portion sizes
• Consulting registered dietitians for precise nutritional guidance

8.5 Not Medical Advice

AI suggestions are for informational purposes only and do NOT constitute medical, nutritional, or dietary advice from licensed professionals.

9. Health and Fitness Disclaimer

9.1 General Wellness Only

iMeal AI is designed for general wellness tracking and is NOT:

• A medical device
• A substitute for professional medical advice
• A diagnostic tool
• A treatment recommendation system

9.2 Consult Healthcare Providers

Before making dietary changes based on information from the App, consult with:

• Your physician
• A registered dietitian
• Other qualified healthcare professionals

This is especially important if you have:

• Existing medical conditions
• Food allergies or intolerances
• Eating disorders or history thereof
• Pregnancy or breastfeeding status
• Diabetes or blood sugar concerns

9.3 No Liability for Health Outcomes

We are not responsible for any health outcomes resulting from your use of the App. You assume all risks associated with dietary and lifestyle decisions.

9.4 Emergency Situations

If you experience a medical emergency, contact emergency services immediately. Do not rely on this App for medical emergencies.

10. Apple Health Integration

10.1 Optional Feature
Apple Health integration is entirely optional. The App functions fully without it.

10.2 Your Control
You control which health data types are shared with the App through iOS Settings.

10.3 Compliance
Our use of Apple Health data complies with Apple's HealthKit guidelines and our Privacy Policy.

11. Third-Party Services

11.1 The App integrates with third-party services:

• Firebase (Google) for authentication
• Google Gemini AI for meal analysis
• RevenueCat for subscription management
• Open Food Facts for barcode product data
• Apple HealthKit for health data sync

11.2 Third-Party Terms
Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for third-party services.

11.3 Third-Party Links
The App may contain links to third-party websites or services. We do not endorse or assume responsibility for third-party content.

12. Disclaimer of Warranties

12.1 "AS IS" Basis
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

12.2 We disclaim all warranties, including but not limited to:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OF NUTRITIONAL INFORMATION
• UNINTERRUPTED OR ERROR-FREE OPERATION
• SECURITY OF DATA TRANSMISSION

12.3 We do not warrant that:

• The App will meet your specific requirements
• Results obtained from the App will be accurate or reliable
• Any errors in the App will be corrected
• The App will be available at all times

13. Limitation of Liability

13.1 To the maximum extent permitted by applicable law, Ess X LLC shall not be liable for:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, OR GOODWILL
• SERVICE INTERRUPTION OR DATA LOSS
• HEALTH OUTCOMES OR DIETARY CONSEQUENCES
• ACTIONS BASED ON APP INFORMATION

13.2 Liability Cap
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13.3 Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Ess X LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Your content submitted to the App

15. Governing Law and Disputes

15.1 Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

15.2 Dispute Resolution
Any disputes arising from these Terms or your use of the App shall be resolved through:

1. Informal negotiation (contact support@imealai.com)
2. Binding arbitration in accordance with the American Arbitration Association rules
3. Small claims court (for qualifying disputes)

15.3 Class Action Waiver
YOU AGREE TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS AND WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS OR CLASS-WIDE ARBITRATION.

15.4 Jurisdiction
For disputes not subject to arbitration, you consent to exclusive jurisdiction in the state and federal courts located in Delaware.

16. Changes to Service

16.1 We reserve the right to:

• Modify, suspend, or discontinue the App at any time
• Change features, pricing, or availability
• Limit access to certain features

16.2 We will provide reasonable notice of material changes when possible.

17. Termination

17.1 By You
You may terminate your use of the App at any time by uninstalling it.

17.2 By Us
We may terminate or suspend your access immediately, without prior notice, for:

• Violation of these Terms
• Illegal activity
• Fraudulent use
• At our sole discretion

17.3 Effect of Termination
Upon termination:

• Your right to use the App ceases immediately
• Provisions that should survive termination will survive (including disclaimers, limitations of liability, and indemnification)

18. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ess X LLC regarding the App and supersede all prior agreements.

20. Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
